FlatGrad LLC Appearance & Media Release
In consideration of being permitted to participate in photography, video recording, audio recording, or other content produced for FlatGrad LLC (“FlatGrad”), I voluntarily agree to the following terms.
1. Consent to Recording
I authorize FlatGrad and its authorized representatives to photograph, film, video record, audio record, and otherwise capture my appearance, image, likeness, voice, statements, and performance in connection with FlatGrad promotional, advertising, marketing, informational, or social-media content (collectively, the “Content”).
2. Permission to Use My Likeness
I grant FlatGrad the right to use, reproduce, display, publish, distribute, transmit, publicly perform, publicly display, advertise, promote, and otherwise use my name, image, likeness, voice, statements, and performance as they appear in the Content.
This permission includes social media platforms; FlatGrad websites and applications; App Store or other app marketplace listings; digital advertisements; paid social-media advertisements; promotional videos; demonstrations and presentations; press and publicity materials; email or digital marketing; printed promotional materials; and other advertising and promotional media relating to FlatGrad.
3. Editing and Modification
I understand and agree that FlatGrad may edit, crop, resize, subtitle, caption, reproduce, adapt, combine, format, or otherwise modify the Content. FlatGrad may combine the Content with graphics, music, text, voiceovers, screenshots, other footage, or other materials. FlatGrad will not use my likeness in a manner that falsely states that I personally endorse a product, service, belief, or statement that I did not agree to endorse.
4. Ownership
I understand that photographs, video recordings, audio recordings, edits, advertisements, and other materials created by or for FlatGrad in connection with the recording will be owned by FlatGrad or its applicable content creator. I do not acquire ownership rights in the finished Content merely because I appear in it.
5. Duration and Territory
The permission granted under this agreement is worldwide, perpetual, irrevocable with respect to Content already created or published, and usable in any media or format now known or later developed. I understand that once Content has been publicly distributed, shared, reposted, downloaded, cached, archived, or otherwise copied by third parties, FlatGrad may not be able to completely remove every copy from the Internet.
6. Compensation
I acknowledge that I have agreed to participate in this particular recording without monetary compensation. Unless FlatGrad separately agrees otherwise in writing, I will not be entitled to royalties, residual payments, licensing fees, or additional compensation arising solely from FlatGrad's authorized use of the Content under this agreement. Nothing in this agreement is intended to determine or waive any legal rights that cannot lawfully be waived.
7. No Obligation to Use Content
I understand that FlatGrad is not required to publish, distribute, advertise, or otherwise use any recording or Content involving me.
8. Release
To the fullest extent permitted by applicable law, I release and discharge FlatGrad LLC and its members, managers, officers, employees, agents, contractors, representatives, successors, and assigns from claims arising from FlatGrad's authorized recording and use of my name, image, likeness, voice, statements, or performance in accordance with this agreement. This release does not waive claims arising from conduct that cannot legally be released or waived.
9. No Approval Requirement
I understand that I will not have the right to inspect or approve every edit, advertisement, caption, layout, format, or final version of the Content before publication, provided the Content is used consistently with the permissions granted in this agreement.
10. Authority and Age
I represent that I am at least 18 years old, have the legal capacity to enter into this agreement, am signing voluntarily, have had the opportunity to read the entire agreement, and understand the rights I am granting to FlatGrad. Participants under 18 may not use this form. The Appearance & Media Release is available only to participants who are at least 18 years old.
11. Electronic Signature
I agree to conduct this transaction electronically. I understand that typing my full legal name into the electronic signature field and selecting “Sign & Submit Release” constitutes my electronic signature and demonstrates my intent to sign this agreement. I agree that my electronic signature may be treated as my signature on this agreement to the extent permitted by applicable law.
12. Entire Agreement
This release represents the agreement between me and FlatGrad regarding FlatGrad's authorized use of the Content described above. Any separate agreement concerning compensation or other services must be documented separately.
